These Terms of Service ("Terms") are an agreement between you and GroupDeed, a business based in Georgia ("GroupDeed," "we," "us"). They apply to our website and to every lead package, free sample, Lead Lock, and related service we provide (the "Services"). By buying or using the Services you agree to these Terms, including the Guarantee Terms, which are part of these Terms. If you accept on behalf of an agency or company, you confirm that you have authority to bind it.
1. Who can use the Services
The Services are for business use only. They are available to insurance agents, brokers and agencies who are at least 18 years old and hold every license required to sell the products they market. You are responsible for keeping your licenses current. We may refuse or cancel any order at our discretion. If we cancel a paid order before delivery, we refund it in full, as described in Section 9.
2. What you are buying
A "lead" is a researched business profile of an employer. It may include company details, named business decision-maker contacts (such as owner or HR contacts), estimated headcount, benefits information, signals, a lead score, and talking points. Lead contents vary, and not every field is available for every lead. Estimates, scores, likelihoods and talking points are our opinions to help you prioritize. They are not facts or guarantees about any employer.
Packages, prices, purchase limits and included bonuses are shown on our website at the time of purchase. Monthly purchase limits apply to some packages. Leads currently cover employers in Georgia and Florida only.
Lead grades. Every lead has a grade, and we show it to you before you buy. Grades are our own internal labels for how many times we have sold a lead before. They are not a certification by any outside organization. "Certified Fresh" means we have not previously sold the lead to any other broker. A Certified Fresh lead may have been given to one broker as a free sample and held for that broker for up to 14 days. That broker keeps its copy and may already have contacted the employer. "Gold" means we have sold the lead to one other broker before, "Silver" to two, and "Bronze" to three or more. Earlier buyers of a Gold, Silver or Bronze lead keep their license to it, so they may have already contacted the employer and may contact it again.
Fixed per-lead pricing. Every package has a fixed price per lead, paid up front. Our prices never depend on, and are never adjusted for, whether you quote, sell or bind any insurance policy or earn any commission. We do not solicit, negotiate or give advice about insurance coverage. We are not an insurance agency or producer, and nothing we provide is a referral of a customer who has asked for coverage. Prices do not include any sales, use or similar taxes. If any such tax applies, it will be added at checkout and you agree to pay it.
Test Drive: one per agency. Each Agency may buy the Test Drive package once. An "Agency" means a business entity identified by its legal business name, together with any affiliated entities under common ownership or control, and all brokers or producers working for or under it. Our checkout cannot block repeat purchases automatically. If we find a second Test Drive purchase by the same Agency, including one made under a different name, email or card, we may cancel it and refund it in full (see Section 9 for refund timing). If its leads have not been delivered yet, they will not be delivered. If they have been delivered, the refund requires you to delete those leads and stop using them. The same one-per-Agency limit applies to free samples.
Free samples and the Test Drive. A free sample is separate from any purchase. Your 3 sample leads do not become part of a Test Drive or any other package, and buying a package does not give them an Exclusivity Window. Every lead in a package you buy is a new lead, and its Exclusivity Window runs from its own Delivery Date. When the 14-day hold on your sample ends, we may sell the sample leads to other brokers.
3. Payment
Payments are processed by our third-party payment processor. Prices are in U.S. dollars. Taxes are handled as described in Section 2. By purchasing, you authorize the charge shown at checkout. Lead Lock renews automatically each month and is billed per locked lead until you cancel it as described in Section 5. If you file a chargeback or payment dispute instead of contacting us first, your guarantee claims for that purchase end, and we may suspend your account while the dispute is open.
4. Delivery
Leads are delivered electronically (for example, as a CSV file) to the email address you provide, within 2 business days after payment. The "Delivery Date" of a lead is the date we send it. If we cannot fill your order in your requested territory, we will offer a nearby territory, a partial delivery with a pro-rated refund, or a full refund.
5. Exclusivity and Lead Lock
Each lead you buy is exclusive to you for 90 days from its Delivery Date (the "Exclusivity Window"). Each purchase comes with its own Exclusivity Window, and any months of Lead Lock you pay for extend it. During your Exclusivity Window we will not sell, license or give that lead to any other broker or customer. Exclusivity is time-limited and covers only our own sales. It does not mean the lead was never sold before (see its grade in Section 2), and it does not mean the employer will not be contacted by earlier buyers of the lead, or by other agents, brokers or sources outside of GroupDeed. Free sample leads are held for you for 14 days only, as described in the Guarantee Terms. They do not come with an Exclusivity Window.
To keep a lead exclusive after its first 90 days, add Lead Lock before the Exclusivity Window ends. Lead Lock costs $9 per lead per month, starts when the first 90 days end, and is billed month to month until you cancel. You can cancel Lead Lock on any lead at any time by emailing us or using the link in your lock reminder. Cancellation takes effect at the end of the current paid month, and no further charges follow. When the Exclusivity Window ends without Lead Lock, or when Lead Lock ends, the lead is released: it drops one grade, and we may sell it to other brokers, usually at a lower price. Each later buyer gets its own Exclusivity Window. We do not share your notes or history with a released lead's next buyer.
6. Guarantees
Our only guarantees are the ones summarized below. Each is subject to the full definitions, outreach and evidence requirements, claim windows and limits in our Guarantee Terms. Only lawful outreach counts toward any guarantee.
Definition of meeting. In these Terms and the Guarantee Terms, a "meeting" means a decision-maker (owner or HR contact) at the lead company attends a scheduled phone, video or in-person meeting with the broker. This is the only definition of meeting that applies to any guarantee. A meeting the broker cancels, reschedules more than once, or fails to attend counts as a meeting held.
- Bad-Lead Replacement (all paid packages). If a lead's decision-maker email hard-bounces, the business closed before delivery, or the business was outside 25–499 employees, report it within 14 days of delivery, with evidence. We will replace it 1:1 with a lead of the same or better grade. Replacements are capped at 20% of the leads in a package. Replacement is the only remedy for a bad lead.
- Test Drive Refund Promise. You get a cash refund of the $97 Test Drive price, paid to your original payment method within 5 business days of approval, if no meeting (as defined above) takes place with any lead in your pack within 30 days of delivery. To qualify, you must have made logged, lawful outreach to every lead: at least 3 calls (on at least 2 different days) and 2 emails per lead. You must claim the refund, with your records, within 45 days of delivery. One per Agency. You keep the leads.
- Meeting Guarantee (Pro). If you have fewer than 5 meetings (as defined above) within 60 days of delivery of a Pro pack, despite logged, lawful outreach to every lead, we will deliver 100 replacement leads, each the same grade as or a better grade than the leads in your original Pro pack, plus 25 bonus Certified Fresh leads at no charge. The remedy is replacement leads only, never cash, and we do not guarantee any sale. One claim per broker. Replacement and bonus leads are not eligible for another Meeting Guarantee claim.
- Exclusivity or It's Free. Each lead is exclusive to one broker at a time, for that broker's Exclusivity Window (90 days from delivery, plus any Lead Lock months). If we sell the same lead to another broker during your window, you get a full refund of the price you paid for that lead, plus any Lead Lock fees you paid for it, plus a replacement lead of equal or better grade. Submit your claim within the window. We check our sale records, and approved refunds are paid to your original payment method within 5 business days.
Stated values shown on our website describe what we would charge for each component separately. They are not a promise of results, revenue, meetings or closed business.
7. License and permitted use
Leads are provided under a license, and you do not acquire ownership of them. We grant you a limited, non-exclusive, non-transferable license to use leads only for your own Agency's prospecting for insurance and benefits products. You may not resell, sublicense, share, publish or give leads to anyone outside your Agency. You may not add them to any shared, pooled or third-party database, use them to train or improve any data product or AI model, or use them to build a competing product. When your license ends, or when we ask because a person has requested removal, you must delete the affected lead data within 10 business days and confirm the deletion if we ask. We may include unique records in leads to detect misuse. On reasonable notice, and no more than once a year, we may ask you to certify compliance with this Section. If you resell or share leads in breach of this Section, you agree to pay liquidated damages of $250 for each lead resold or shared, as a reasonable estimate of our loss and not as a penalty, in addition to injunctive relief.
8. Your compliance responsibilities
A lead is not consent. Receiving a lead does not mean anyone in it has agreed to be called, texted or emailed by you. We do not obtain consent for you, and we do not tell you whether any number is a wireless or residential number or whether it is on a do-not-call list.
You are solely responsible for how you contact anyone in a lead. You must follow every law that applies, including: the Telephone Consumer Protection Act and FCC rules (including the rules on autodialed, artificial or prerecorded voice calls and texts, ringless voicemail, and revoking consent); the National Do Not Call Registry and state do-not-call lists; the FTC Telemarketing Sales Rule; the CAN-SPAM Act; state telemarketing and "mini-TCPA" laws, such as the Florida Telephone Solicitation Act and its calling-hour and call-frequency limits; and state insurance licensing, advertising and solicitation laws. Before calling, you must scrub numbers against the applicable do-not-call lists, and you must honor every opt-out promptly and permanently. Outreach that breaks any of these laws does not count toward any guarantee.
9. Refunds
All sales are final, except for the specific promises below and any refund required by law. Each promise applies only on the conditions in Section 6 and the Guarantee Terms, or the section noted.
- Test Drive Refund Promise: a cash refund of the $97 Test Drive price, paid within 5 business days of approval, to the original payment method.
- Meeting Guarantee (Pro): replacement leads only. It never provides cash.
- Exclusivity or It's Free: a full refund of the affected lead's price, plus any Lead Lock fees you paid for it, paid within 5 business days of approval, plus a replacement lead of equal or better grade.
- Bad-Lead Replacement: replacement leads only. It does not provide a cash refund.
- Orders we cannot fill, and duplicate Test Drive orders: a pro-rated or full refund, as described in Sections 2 and 4.
Every approved refund, including Test Drive refunds and refunds for orders we cancel or cannot fill, is paid within 5 business days of approval, to the original payment method. We review complete claims within up to 10 business days. Your bank may take additional time to post a refund.
10. Accuracy and disclaimers
We research every lead carefully, but business information changes, and we cannot promise that any lead is complete, accurate or current.
EXCEPT FOR THE GUARANTEES EXPRESSLY STATED IN SECTION 6 AND THE GUARANTEE TERMS, THE SERVICES AND ALL LEADS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. TO THE FULLEST EXTENT ALLOWED BY LAW, GROUPDEED DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND COMPLETENESS, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. GROUPDEED DOES NOT WARRANT THAT ANY PERSON OR NUMBER IN A LEAD MAY LAWFULLY BE CALLED, TEXTED OR EMAILED, AND DOES NOT GUARANTEE ANY MEETING, QUOTE, SALE, POLICY, COMMISSION OR OTHER RESULT, EXCEPT AS EXPRESSLY STATED IN THE GUARANTEE TERMS.
11. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW: (A) GROUPDEED AND ITS OWNER, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST COMMISSIONS, LOST BUSINESS OR OPPORTUNITY, LOSS OF GOODWILL, OR LOSS OF DATA, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STATUTE OR OTHERWISE), EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) GROUPDEED'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID GROUPDEED FOR THE SERVICES IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM.
These exclusions and this cap: (1) do not apply to your payment obligations, your indemnity obligations under Section 12, or your breach of Section 7 (license, resale, sharing and permitted use); and (2) do not reduce or limit any refund or replacement expressly promised in Section 6, Section 9 or the Guarantee Terms, which we will provide on the stated conditions. These limits are an essential part of the bargain and apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limits, so some of them may not apply to you.
Time limit for claims. To the extent allowed by law, any claim or cause of action against GroupDeed arising from these Terms or the Services must be brought within 1 year after it arose. After that, it is permanently barred. Guarantee claims must also meet the shorter claim windows in the Guarantee Terms.
12. Indemnity
You agree to defend, indemnify and hold harmless GroupDeed and its owner, employees and contractors from and against all claims, demands, investigations, fines, penalties, damages, settlements, judgments and costs (including reasonable attorneys' fees) arising from or related to: (a) your calls, texts, voicemails, emails or other outreach to anyone, including any claim under the Telephone Consumer Protection Act, the National Do Not Call Registry or state do-not-call rules, the Florida Telephone Solicitation Act or another state telemarketing law, the FTC Telemarketing Sales Rule, or the CAN-SPAM Act; (b) your access to, use, storage, disclosure or handling of leads or any data we provide, including any claim by a person named in a lead and any use outside the license in Section 7; (c) your breach of these Terms; or (d) your violation of any law or regulation. We may take part in the defense with counsel of our choice at our own expense. You may not settle any claim in a way that admits fault for us or imposes any obligation on us without our written consent. This Section survives termination.
13. Suspension and termination
We may suspend or end your access to the Services if you break these Terms, misuse leads, or fail to pay. Sections 6 through 15 survive termination, and so does your duty to delete lead data under Section 7.
14. Governing law and disputes
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Services will be resolved by final, binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, in Gwinnett County, Georgia, or by video. Claims will be brought only on an individual basis, not as a class, collective or representative action. Either party may bring an individual claim in small-claims court instead. Either party may also seek an injunction in court to stop misuse of leads or of confidential information. Any court action permitted under this Section must be brought in the state courts located in Gwinnett County, Georgia, or in the United States District Court for the Northern District of Georgia. Each party consents to those courts' jurisdiction.
15. Changes
We may update these Terms. An updated version applies to purchases made after it is posted on this page with the date shown above. The Terms in effect when you placed an order govern that order's guarantees.
